Introductory provisions

These general terms and conditions govern the provision of translation services and other related services agreed between the company STENTOR, a limited liability company for services with its registered office in Zagreb, Ulica grada Vukovara 284, entered in the court register of the Commercial Court in Zagreb under the registration number (MBS): 081103769, personal identification number (OIB): 28042507798 (hereinafter referred to as: STENTOR) and the customer of the service (hereinafter referred to as: the Customer) from the field of activity for which the company STENTOR doo for services is registered with the Commercial Court in Zagreb.

By placing an order, the Client accepts these General Terms and Conditions. In the event of a subsequent signed contract between the Client and STENTOR, the provisions of that contract will take precedence over these General Terms and Conditions.

The STENTOR Company undertakes to provide services in accordance with these General Terms and Conditions. The STENTOR Company reserves the right to amend the General Terms and Conditions at any time, of which it will notify the Client in writing if any changes occur during the duration of their business relationship.

The company STENTOR is authorized to transfer its rights and obligations under these General Terms and Conditions in whole or in part to a third party. The client does not have the right, except with the specific written permission of the company STENTOR, to transfer its rights and obligations to a third party.

2. Definitions

„"Original" means the documents (in any form) and other materials that the Client submits to STENTOR for the purpose of performing the translation and/or related services.

„"Orderer" means a client of STENTOR, i.e. a legal or natural person who has ordered a translation and who will receive the translation.

„"Translation" means the final, written and translated version of the Original that STENTOR delivers in accordance with the terms set forth in this document and/or the specific instructions of the Client.

„"Translator" means a natural or legal person to whom STENTOR entrusts the performance of the service specified in the request and with whom it has a regulated business relationship. Exceptionally, this does not apply to a court interpreter for a particular language who STENTOR occasionally engages for the purpose of producing a translation certified by a court interpreter.

„"Translation without certification by a court interpreter" (uncertified translation) means written translations of texts that have not been certified by a court interpreter.

"Language editing" means reviewing the content in the target language against the content in the source language to check its suitability for the agreed purpose, i.e. comparing the source language text with the translation into the target language and making the necessary corrections to achieve greater accuracy of the target text and credibility in relation to the source text.

„"Translation certified by a court interpreter" (certified translation) means a translation that is certified by a court interpreter, guaranteeing its identity with the original. A certified translation consists of a translation of the original text and a confirmation of the identity of the translation with the original (certification by a court interpreter), an imprint of the seal and signature of the court interpreter. The translation is bound with the original or a copy in accordance with the Regulations on Court Interpreters. A certified translation has the evidentiary force of a public document and is required when exercising rights in proceedings before all state administration bodies, notaries, courts and others.

„"Professional editing" means a monolingual review of the content in the target language to check its suitability for the agreed purpose and compliance with the rules applicable in the field to which the text relates. Professional editing is carried out by an expert in the subject area, as their expertise is essential.

„"Proofreading" means a linguistic check of spelling, grammar, style, punctuation, consistency, adaptation to the target language and its standard without a detailed comparison with the text in the source language.

„"Proofreading" means correcting errors in typography, spacing, and line spacing, most often in typewritten text before it is printed.

„"Simultaneous interpreting" means a type of oral interpreting during which the interpreter translates simultaneously with the speaker's presentation, using dedicated equipment (interpreter booths, receivers, headphones, microphones, sound system). This type of interpreting is most suitable when organizing various conferences, fairs or presentations for a large number of people, and its greatest advantage is saving time, since the interpreters translate simultaneously with the speaker's presentation, so the flow of the event is not slowed down.

„"Consecutive interpreting" means a type of oral interpreting during which the translation is performed by the speaker presenting a portion of the text, after which the interpreter translates the presented content into the target language during the speaker's pause.

„"Interpretation" means a type of oral translation during which the translation is performed by the speaker presenting a part of the text, after which the court interpreter translates the presented content into the target language during the speaker's break. This type of translation is usually performed in the presence of a smaller number of people (assembly and sessions of commercial and joint-stock companies, during the establishment and statutory changes of commercial and joint-stock companies at a notary public, etc.).

„"Translation memory maintenance" means a service provided by STENTOR in cooperation with the Client in such a way that after the Client makes any changes to the translation, STENTOR is notified, who will enter these changes into the translation memory maintained for the Client. This ensures that the Client receives consistent translations with consistent terminology.

3. Translation services

Offer and contract for translation

STENTOR prepares an offer based on an insight into the submitted text and delivers the offer to the Client by e-mail, other forms of written communication or directly.

The contract is concluded when STENTOR receives the Client's statement of acceptance of the offer. The Client must make the statement of acceptance of the offer in writing, by e-mail or registered mail or in person, within the acceptance period specified by STENTOR in the offer.

Service change or cancellation

If, after contracting for a translation, the Client makes or requests major changes to the initial order, STENTOR has the right to change the price and/or delivery date or even refuse to execute the order and charge for the work already performed.

If the Client cancels the order, he is obliged to pay STENTOR a fee for the part of the translation that was performed up to the moment STENTOR learned of the Client's cancellation, and STENTOR will attach the translation on the agreed medium to the issued invoice as proof of the service performed.

Service implementation

The Client shall, upon STENTOR's request, make available in a timely manner all reference documentation that may be useful in the course of the translation or interpretation and shall cooperate with STENTOR during the translation project. If necessary due to the nature of the individual project, STENTOR may request that the Client designate a contact person whom STENTOR may contact in the event of issues relevant to the harmonization of terminology with the Client's business practices.

Unless otherwise agreed, STENTOR has the right to engage a third party to execute the order in whole or in part, without prejudice to the liability of STENTOR with regard to the confidentiality of data and the proper execution of the order.

Deadlines and delivery times

Translated texts are delivered to the Client electronically or at the premises of STENTOR, unless otherwise agreed. If the Client requests delivery by post, registered mail, courier service or by arrival at the Client's headquarters, the Client shall bear the costs of such delivery.

STENTOR agrees with the Client on the deadlines for translation and sets them out in the offer or estimate. The deadlines for translation production start on the same working day if the order is confirmed by 12 noon, or on the first following working day if the order is confirmed after 12 noon, unless otherwise agreed between the Client and STENTOR.

STENTOR is obliged to respect the delivery deadline and perform the translation to the best of its knowledge and abilities. In the event of a delay, STENTOR will notify the Client without delay. Neither STENTOR nor the Client shall be liable for any delay in fulfilling their obligations that occurs through no fault of theirs, or due to force majeure.

The translation is considered delivered at the moment when STENTOR sends it by email, registered mail, hands it over to a courier service, or the Client collects it from the premises of STENTOR.

Prices and payment methods

The price that the Client pays for translation services to STENTOR is determined by the preliminary invoice/quote for translation services prepared by STENTOR, which is delivered to the Client by e-mail, fax, other forms of written communication or directly.

Prices are generally based on the current price list of STENTOR (by credit card or by card) unless otherwise agreed. In addition, STENTOR has the right to charge the Client for unforeseen costs that may arise during the execution of the order, for example due to graphic text processing.

Unless otherwise agreed, the minimum billing unit for written translation is 1 (one) translation card, and for oral translation ½ day. Exceptionally, oral translation can be arranged on an hourly basis (at a notary public, at a registry office, etc.)

The price of an urgent translation is increased by at least 25-50 % compared to the basic price, and is applied in the case of translations with a delivery deadline within 24 (twenty-four) hours (regardless of the amount of text) from the day the deadline normally begins to run, and in the case of translations whose scope and delivery deadline require the translation of more than 7 (seven) translated cards per day, regardless of whether it is a working day or a weekend.

The price of editing, proofreading and proofreading also increases by 25 - 50 % compared to regular daily deliveries, including for language editing for quantities greater than 24 cards per day, or 40 cards of proofreading or proofreading.

Any discounts can only be agreed upon directly with STENTOR and are valid for a specific project, unless otherwise defined in a separate contract between STENTOR and the Client.

Deadlines begin to run on the first business day after the conclusion of the contract. STENTOR is obliged to adhere to the agreed deadlines, and in the event of inability to fulfill the obligation within the given deadline, it will notify the Client without delay.

In the case of consecutive and simultaneous interpreting, the time spent with the Client of the translation is calculated from the moment the Translator arrives at the agreed location until the end of the negotiations (conference), regardless of how long the Translator has effectively been interpreting. Each started hour of consecutive and simultaneous interpreting is calculated as a full hour. In the case of performing the translation outside Zagreb, the Client bears the cost of the Translator's travel and accommodation. Each started day outside Zagreb will be considered a full day, regardless of whether it relates to travel or interpreting.

The working day of an interpreter is six (6) hours, including regular breaks and a lunch break.

STENTOR has the right to request an advance payment of a certain percentage of the estimated value of the translation in order to confirm the seriousness of the order.

In the event of a delay in payment within the period specified on the invoice, STENTOR has the right to charge statutory default interest on the amount owed and take all legal measures to collect its claim.

STENTOR has the right to charge the Client for all costs incurred in performing the translation, whether written or oral, such as postage and other methods of delivery of the translation, travel costs, accommodation, etc.

4. Warranties and responsibilities

STENTOR is liable to the Client only for loss or damage that is a direct and obvious consequence of STENTOR's improper conduct. STENTOR is not liable under any circumstances for any other form of loss or damage such as indirect loss, consequential loss, loss of business, loss caused by delay or lost profits.

STENTOR is not responsible for the content of the documents submitted by the Client nor is it responsible for the consequences of the translated content. Ambiguities or ambiguities in the original text release STENTOR from any liability.

STENTOR guarantees to the Client that the translation services will be performed conscientiously, professionally and within the agreed deadline.

The liability of STENTOR company shall in no case exceed the value of the invoice for the completed translation (excluding VAT).

5. Complaints

If the Client believes that the delivered translation contains a defect, he is obliged to explain it in writing to STENTOR no later than 8 (eight) days from the delivery of the translation, provided that he has fully settled his obligations towards STENTOR.

If STENTOR determines that there has indeed been an error or omission in the translation, it is obliged to correct them as soon as possible at its own expense.

6. Teaching and education

STENTOR provides training services (design, preparation and delivery of classes) based on an analysis of the Client's needs. The content of the training may be changed during the implementation of the program based on the Client's written request. The cost of the change will be borne by the Client.

The contract is concluded when STENTOR receives the Client's statement of acceptance of the offer. The Client must make the statement of acceptance of the offer in writing, by e-mail or registered mail, or in person, within the acceptance period specified by STENTOR in the offer.

Place and time of the lesson

The location and time of the training depends on the agreement between the Client and the company STENTOR. In the case of training being held on the premises of the Client who is a natural person, the Client is obliged to provide the space and equipment for holding the classes at the agreed time.

The Client undertakes to respect the training schedule. In the event of absence, the Client undertakes to notify STENTOR of this at least one working day (24 hours) before the day scheduled for the training (where a working day is considered every day except Saturday, Sunday and public holidays). If the Client does not promptly notify STENTOR of the need to change the training date, STENTOR has the right to charge for the service as if the class had been held.

Payment

The amount of the fee for providing training services depends on the specific agreement between the Client and the company STENTOR. Services are paid to the kuna account of the company STENTOR upon its issuance of the invoice/offer within the specified period, which may not exceed the legally prescribed deadlines.

7.
